BYLAWS OF THE COEUR D'ALENE SAILING CLUB

ARTICLE I: ORGANIZATION

  • 1. Name: The name of the organization shall be Coeur d'Alene Sailing Club (CdASC).

ARTICLE II: PURPOSE

  • To promote the sport of sailing, foster camaraderie among members, and encourage responsible stewardship of the waters of Coeur d'Alene Lake.
  • To provide, facilitate, and organize sailboat racing for members.
  • To promote competitive racing and host regattas to enhance member engagement and community involvement.
  • To promote safety and competence during water-related activities.

ARTICLE III: MEMBERSHIP

1. Eligibility: Membership shall be granted upon approval by a majority vote of the Board and payment of applicable dues and initiation fees.

2. Classes of Membership:

  • Regular Membership: Individuals 21 years and older with voting rights. ($100 initiation / $100 per year)
  • Family Membership: Two adult persons residing in one household and their dependents. ($100 initiation / $200 per year)
  • Junior Membership: Individuals 34 years old and under; non-voting. ($50 per year, no initiation)
  • Honorary Membership: Awarded by the Board; non-voting.

3. Guest Policy: Non-members may attend up to two Club events. Afterward, application for membership is required.

ARTICLE IV: MEETINGS

1. Annual Meetings: The Annual General Membership Meeting for the election of officers shall be held in the fall. A planning meeting is held in January.

2. Regular Meetings: Board meetings shall be held monthly or as deemed necessary by the Commodore.

3. Quorum: A quorum of 25% of voting members for general meetings. Four (4) Board members for Board meetings.

ARTICLE V: VOTING

  • At all meetings, except for officer elections, votes shall be by voice.
  • Ballots shall be used for officer elections.
  • Proxy votes are permitted for amendments or major decisions.

ARTICLE VI: OFFICERS AND DUTIES

ARTICLE IX: INSURANCE

The Club shall maintain general liability and officer indemnity insurance to protect the organization and its leadership during Club-sponsored activities.
